Terms of Service

These Terms of Service ("Terms") govern your use of the senti.nexus web dashboard and Chrome extension (the "Services") provided by TODO: legal entity name ("Company," "we," "us"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Service description
senti.nexus is a real-time AI assistant that helps you capture, transcribe, and analyze conversations, lectures, and meetings. It provides:
- Audio capture and speech-to-text transcription from your browser or microphone
- Real-time classification and suggested responses powered by TypeSafe's JEV engine
- Access to a shared knowledge base of approved answers and best practices
- A web dashboard to manage your workspace, team, knowledge, and subscription
The Services are provided as-is, and features may change.
2. Accounts and registration
2.1 Account creation
To use the Services, you must create an account with a valid email address. You are responsible for:
- Keeping your password confidential
- All activity under your account
- Notifying us immediately of unauthorized access
We reserve the right to reject or remove accounts that violate these Terms.
2.2 Age requirement
You must be at least TODO: age, typically 18 years old to create an account.
3. Workspaces, teams, and seats
3.1 Workspaces
A workspace is a shared team environment. One person creates a workspace and can invite others. Workspace members can:
- Access shared knowledge and settings
- Contribute to knowledge bases
- Use the Services subject to their role and subscription plan
3.2 Roles and seats
A seat represents one assigned team member. Depending on your plan, your workspace has a limited number of seats available.
Roles include:
- Owner: Can manage workspace settings, billing, team members, and approve knowledge
- Admin: Can manage team members and knowledge approval (depending on plan)
- Reviewer: Can review and approve knowledge proposals
- Member: Can use the Services and propose new knowledge
The exact role capabilities depend on your subscription plan.
3.3 Removing team members
When a workspace owner or admin removes a team member, we immediately revoke their access to the Services. On that team member's next sync, the extension invalidates their local copies of proprietary workspace knowledge. However, data already downloaded or exported cannot be recalled.
4. Plans and billing
4.1 Available plans
We offer the following plans:

Prices and features are available on our pricing page. We reserve the right to change pricing with 30 days' notice.
4.2 Trials
- Personal: 7-day free trial. One per account.
- Business: 7-day trial with one active coaching seat included. One per workspace. Only the account that starts the trial is a coaching-seat holder; the owner can move the seat to another team member.
- Enterprise: Configurable by agreement. We do not offer a default trial.
Eligibility for a trial is determined at the workspace level. You may not start multiple trials by reinstalling the extension, creating new workspaces, or using different email addresses.
4.3 Auto-renewal and cancellation
Subscriptions automatically renew at the end of each billing period (monthly or yearly). You can cancel anytime through the Stripe billing portal integrated into the dashboard. Cancellation takes effect at the end of your current billing period. You will not be charged again after cancellation.
4.4 What happens after expiration
When your trial or subscription expires:
- You cannot start new coaching sessions (using the JEV classification service).
- You can still view, search, and export your workspace knowledge.
- You can re-subscribe anytime to regain access to the full feature set.
5. Recording and consent obligations
You are responsible for obtaining all necessary consents before recording any conversation, lecture, meeting, or stream. This includes:
- Getting explicit consent from all participants before recording a phone call, video call, or live meeting.
- Complying with local and national recording laws (e.g., two-party consent in some US states).
- Following platform-specific rules (e.g., Google Meet terms, YouTube terms).
- Informing participants that recording is happening and explaining how the recording will be used.
We provide the tools to record and transcribe. We do not provide legal advice. You assume all legal liability for unauthorized recording or misuse.
6. AI-generated content and OpenRouter
6.1 Customer-controlled LLM access
When you use the Services to generate responses or documents, the request is sent directly from your browser or extension to OpenRouter using your own OpenRouter account and API key. We never receive your key, your prompts, or the generated content.
Billing for OpenRouter usage goes directly to OpenRouter, not to us. OpenRouter's and the underlying model providers' terms of service apply.
6.2 AI limitations
We do not guarantee the accuracy of AI suggestions. TypeSafe's JEV confidence scores indicate the model's confidence in a classification, not the probability that a suggested response is correct or truthful. You should:
- Review AI suggestions before using them
- Verify facts independently
- Not rely on AI output alone for critical decisions
- Label AI-generated content as such when sharing it
You are responsible for the content you create and share using the Services.
7. Customer content
7.1 Ownership
You retain all rights to the content you create, upload, and store in your workspace (knowledge entries, proposals, documents, transcripts).
7.2 License to us
By using the Services, you grant us a limited license to:
- Store and process your content to provide the Services
- Back up your data for disaster recovery
- Analyze your content to improve our services (with data anonymization and aggregation)
We do not use your content to train models, create derivatives for other customers, or market to your industry.
7.3 Public templates
The platform maintains public templates of approved knowledge. These are separate from your workspace content. Your workspace knowledge is never automatically added to public templates or shared with other customers without your explicit action.
8. Acceptable use
You agree not to:
- Use the Services to record conversations without all participants' consent
- Use the Services to harass, threaten, or harm any person
- Attempt to access other users' or workspaces' data
- Reverse-engineer, decompile, or attempt to discover the source code
- Use the Services for illegal purposes
- Interfere with or disrupt the Services or other users' access
- Use automated tools (bots, scrapers) without permission
- Transmit malware, viruses, or malicious code
- Remove or obscure any copyright, trademark, or attribution notices
Violations may result in suspension or termination.
9. Limitation of liability
To the fullest extent permitted by law, we are not liable for:
- Loss of data, profits, revenue, or business opportunity
- Indirect, incidental, special, or consequential damages
- Damages from AI-generated content, even if we were advised of the possibility
Total liability cap: Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
These limitations do not apply to death or personal injury, or to liabilities that cannot be limited by law.
10. Disclaimer of warranties
The Services are provided "as-is" without warranties of any kind. We do not guarantee:
- Availability or uptime (though we aim for high reliability)
- The accuracy of transcriptions or classifications
- The quality or usefulness of AI suggestions
- That the Services will meet your specific needs
- Freedom from interruption or errors
You use the Services at your own risk.
11. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of applicable law
- Your content or activity
- Your infringement of third-party rights
- Recordings you make without proper consent
12. Termination
We may terminate your account or access to the Services at any time, with or without cause, by providing notice. Upon termination:
- Your right to use the Services ceases immediately
- You lose access to your workspace (though you may request a data export)
- Your data will be retained or deleted per our Privacy Policy
You may terminate your account anytime by deleting your workspace through the dashboard.
13. Modifications to the Services
We reserve the right to modify or discontinue the Services (or any part) at any time, with or without notice. We will attempt to provide advance notice for major changes.
14. Governing law and jurisdiction
These Terms are governed by the laws of TODO: jurisdiction. You agree to the exclusive jurisdiction of the courts located in TODO: jurisdiction.
If you are a consumer in the EU/EEA, you have the right to bring disputes in your local court as well.
15. Dispute resolution (optional, if needed)
Informal resolution: Before filing a formal claim, contact us at TODO: support email to attempt to resolve the dispute.

16. Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Services. If any provision is found invalid, the remaining provisions continue in effect.
17. Waiver
If we fail to enforce a provision of these Terms, that does not waive our right to enforce it later.
18. Severability
If any part of these Terms is found to be unenforceable, that part is severed and the rest continues.
19. Changes to these Terms
We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance. For material changes, we will provide notice.
